SEC Voted to Assert Jurisdiction Over Antrim Wind Project  

The New Hampshire Site Evaluation Committee voted June 27, 2011 to assert jurisdiction over a 24 megawatt wind energy facility proposed to be built in Antrim, New Hampshire by Antrim Wind Energy, LLC. Because the size of the Antrim wind project is below 30 megawatts, the Site Evaluation Committee’s jurisdiction under state law is discretionary. The Antrim Board of Selectmen, Antrim Wind Energy, LLC and over 100 registered voters in the Town of Antrim had petitioned the SEC to take jurisdiction. The Antrim Planning Board and over 100 Antrim voters petitioned the SEC not to take jurisdiction. In support of their argument for local control over the project, the jurisdictional opponents stated that an Ad Hoc Committee in Antrim was in the process of developing a town ordinance and site plan approval regulations for wind energy facilities and should be allowed to complete its work so that the project could be reviewed by the Town rather than the State SEC. After a 5-5 vote to defer its decision, the SEC voted 6-4 to assert jurisdiction. It also voted to require Antrim Wind to file an application for a certificate of site and facility with the Committee by 1/31/12. Susan Geiger is lead counsel on the SEC matter and has been assisted by Maureen Smith, Doug Patch and Rachel Goldwasser. Rachel has also been assisting Richard Uchida with local land use issues related to this project.

 
Lisa Snow Wade, the president of Orr & Reno, participated in Dartmouth College’s annual “Law Day” as a panelist discussing shared decision making policies in health care 

Panelists discussed the benefits of shared decision making — a process that includes collaborative patient-physician discussion regarding the multitude of health care options — at the College’s annual “Law Day” panel. The policy of shared decision making is in the process of being implemented at Dartmouth Medical School and Dartmouth-Hitchcock Medical Center, according to the panelists.

If state legislatures like New Hampshire’s actively advocates for patients’ rights and shared decision making, there will be enough momentum to bring the process to the federal level, according to Lisa Snow Wade, a 1985 Dartmouth graduate, who focuses on health care law at Orr & Reno.

Rachel Goldwasser to be a co-presentor at the April New Hampshire Bar Association meeting. 

Attorney Rachel Goldwasser will be a co-presenter of “A Snapshot Update on Energy Efficiency and Renewable Energy Issues for Environmental Lawyers” at the April meeting of the New Hampshire Bar Association’s Environmental & Natural Resources Law Section. This presentation will provide updates on recent energy and renewable energy laws and policies in the state as well as on relevant legislative and rulemaking changes regarding the Regional Greenhouse Gas Initiative (“RGGI”), the Renewable Portfolio Standard (“RPS”), energy efficiency programs, local renewable energy issues, and environmentally-related Public Utilities Commission rules and dockets.

 
OSHA Compliance Seminar April 19th at Orr & Reno 

Attorney Jim Laboe, will be speaking at the Legal Breakfast Series workshop on April 19, 2011, regarding an employer’s rights and responsibilities during an OSHA inspection. In most instances, OSHA arrives to inspect a facility unexpectedly or when a major disruptive event, such as a fatality, catastrophe, or serious employee injury, has recently occurred. As such, the employer is often unprepared to handle the inspection so as to minimize liability, as well as, reduce interference with its operations. The result may be significant OSHA citations, civil liability, and even criminal penalties. This presentation will provide guidelines to manage an OSHA inspection so as to minimize employer liability, while at the same time, assist OSHA in conducting a reasonable inspection.

The hour long Legal Breakfast Series, held at the offices of Orr & Reno, is free of charge and begins at 8:00 a.m.

 
Orr & Reno's Rachel Goldwasser Joins Board At Conservation NH 

Orr & Reno is pleased to announce Attorney Rachel Goldwasser has been appointed to the Conservation NH Board of Directors. Goldwasser will use her extensive knowledge in energy and land use law to assist in Conservation NH’s efforts across the Granite State.

Conservation NH is a non-partisan group dedicated to enriching the quality of life in New Hampshire by improving the environment and conserving natural resources. They influence public policy decisions being made in Washington, D.C., Concord and in New Hampshire’s cities and towns. The organization also educates families and individuals on personal decisions and their impact on the environment.

“We are thrilled that Rachel has decided to join us,” said Jim O’Brien, Executive Director of Conservation NH. “Her experience with energy and environmental issues in both New Hampshire and Washington D.C. will help our organization immensely. We look forward to working with her as we continue to keep our environment and natural resources as strong as they can be.”

Goldwasser has been practicing law at Orr & Reno since 2007. Her practice focuses on energy and land use law. She represents both regulated and unregulated energy interests before various tribunals, including the Public Utilities Commission and the New Hampshire legislature. Prior to law school, Goldwasser worked at The Wilderness Society and Americans for Our Heritage and Recreation in Washington, D.C. She holds a law degree from Vermont Law School and a Master’s degree in Environmental Management from the Yale School of Forestry and Environmental Sciences. She received her undergraduate degree in geography from Dartmouth College. She resides with her husband in Contoocook.

Entitled “Life after OPT – Work Visas and the Green Card,” the workshop is for F-1 and J-1 international students and scholars interested in visa options after finishing their educational program. On March 7, Robin is a co-presenter on a panel for H-1B Hot Topics at the NAFSA Region XI Spring Immigration Workshop held at Worcester Polytechnic Institute.

 
Sheriff Leaking Candidate's Annulled Conviction Was in Public's Interest 

The Supreme Court recently upheld a lower court ruling that former Rockingham County Sheriff, Dan Linehan, could not be sued for releasing details regarding former Democratic opponent, David Lovejoy’s conviction for simple assault, even though that conviction was annulled. Linehan, represented by Orr & Reno attorney, Michael Ramsdell, argued that once Lovejoy ran for sheriff he “not only opened himself up to the disclosure” but his annulled conviction became a matter for public concern. Ramsdell said the ruling was not surprising given Superior Court Judge Diane Nicolosi’s thoroughly researched ruling.

 
Richard Uchida appointed to the State Judicial Council. 

Richard Uchida, an attorney and Director with Orr & Reno, has been appointed by the New Hampshire Supreme Court to the State Judicial Council. The Council serves as an institutional forum for the consideration of issues affecting the administration of justice, including the organization, procedure, practice, rules and methods of court operations and administration, and ways of simplifying judicial procedure, expediting judicial business and improving the administration of justice. Uchida was president of the NH Bar Association in 2005-06 and has chaired numerous state bar committees and task forces.

 
Orr & Reno, P.A. Elects 2011 Management Committee 

The lawyers at Orr & Reno, P.A. recently elected three members of the firm’s Management Committee for a one-year terms. Lisa Snow Wade will serve as President, Steve Winer as Secretary and Jim Bassett as Treasurer.

Wade specializes in advising health care organizations on a variety of daily legal questions including Medicare/Medicaid, Stark and Fraud/Abuse compliance, EMTALA, HIPAA, quality assurance, and consent issues. Lisa also is an experienced litigator, having tried cases to verdict in both state and federal courts.

Winer is chair of the Employment and Immigration practice group. He focuses on employment and immigration law, counseling employers on legal issues relating to human resources and representing them before state and federal courts and administrative tribunals.

Bassett is a trial lawyer and legal advisor with extensive trial experience in federal and state courts, and often argues cases before the New Hampshire Supreme Court. During almost three decades of practice, he has represented media clients in cases involving access to records and public proceedings under the Right-to-Know Law and the New Hampshire Constitution. He has also represented private landowners and municipalities in regard to land use issues, the creation and enforcement of conservation easements, the partition of real estate, and tax abatement matters. Jim previously served as Treasurer of the firm between 1993 and 2000.

Orr & Reno, P.A. has formed a new practice group for defense of legal malpractice and attorney misconduct claims against New Hampshire lawyers.

The Legal Ethics and Malpractice Group will also provide general advisory services in ethics, risk management and trust accounting issues.

Richard Y. Uchida
In addition to serving as President of the New Hampshire Bar Association from 2005 to 2006, Richard has been a long-standing member of the Bar Association’s Ethics Committee. He has had an active practice of defending lawyers in disciplinary matters for many years. As an adjunct professor, he taught Professional Responsibility at the UNH School of Law for a number of years, and is a frequent lecturer on ethics at numerous continuing legal education seminars. He served on the New Hampshire Supreme Court Professional Conduct Committee from 2003 to 2004, and as a member of the Ethics Committee, helped draft the current rules of professional conduct.

Jim Bassett
Jim has more than 25 years of experience representing clients in regard to a wide variety of legal issues, including professional liability and ethical matters. He has an active trial practice in both state and federal courts, and recently worked closely with attorneys at the New Hampshire Supreme Court’s Attorney Discipline Office in regard to a disciplinary matter before the Professional Conduct Committee and a hearing panel. Jim has an active appellate practice, and has briefed and argued dozens of cases before the New Hampshire Supreme Court and the United States Court of Appeals for the First Circuit.

Emily Gray Rice
Emily is a highly-experienced professional liability defense counsel who represents lawyers and other licensed professionals in both civil and disciplinary forums. She chairs the Rules Committee for the United States Court of Appeals for the First Circuit, and is a member of the New Hampshire Supreme Court Rules Committee. She is a frequent presenter on ethics topics for continuing legal education programs. Emily is recognized by The Best Lawyers in America for legal malpractice defense, by New England Super Lawyers for professional liability defense, and by Chambers USA. She is an adjunct faculty member at the University of New Hampshire Law School where she teaches pretrial advocacy and trial advocacy in the Daniel Webster Scholars program. Prior to beginning her career in private practice, Emily was chief of the Bureau of Civil Law in the New Hampshire Department of Justice.

William Chapman
Bill has served as a member of the New Hampshire Bar Association’s Ethics Committee for more than 20 years. He is also a member and post chair of the Bar’s Professionalism Committee. Bill was recognized by the Bar in 1999 as the recipient of the E. Donald Dufresne Award for Outstanding Professionalism. He has written numerous articles about the topic including “Lawyer-Client Sex: A Per Se Violation of Rule 1.7(b)” published in the NH Bar News; “ABA Model Rule 1.18: Lawyering and the Prospective Client” and The ‘Prospective Client’ Under Model Rule 1.18 and Motions to Disqualify,” published in Media Law Resource Center LibelLaw Newsletter.

Maureen D. Smith
A long-standing member and currently serving as Vice Chair of the New Hampshire Bar Association's Ethics Committee, Maureen is closely involved in professional conduct rule revisions, Committee ethics opinions and ethics guidance to New Hampshire lawyers. She served on the New Hampshire Department of Justice Ethics Committee for many years and provided training to public sector employees on New Hampshire's newly revised professional conduct rules. Maureen regularly speaks on emerging issues for Bar-sponsored continuing legal education series and business events. Her practice includes counseling and defense in professional conduct matters.

Maureen has 33 years of environmental law experience in private practice and governmental organizations. Before joining Orr & Reno in 2008, she spent 16 years in the New Hampshire Attorney General's Office, representing the State in a broad array of environmental matters ranging from redevelopment of contaminated properties to enforcing air, waste, oil, wetlands and groundwater laws. Goldwasser Selected for NH Bar Association Leadership Academy 

Orr & Reno Attorney Rachel Aslin Goldwasser has been selected as a member of the inaugural class of the New Hampshire Bar Association Leadership Academy. As a participant, Rachel will meet with the other 15 members of the academy on a monthly basis for the next nine months learning skills and receiving orientation to facets of community and professional lie in New Hampshire. Working in groups, the participants will also work on legal sector community service projects.

Rachel’s practice focuses on energy and land use law, in addition to litigation. She regularly assists clients before local planning and zoning boards throughout the state, and represents both regulated and unregulated energy interests before various tribunals, including the Public Utilities Commission. Immigration Department Presents Visa Workshops 

Robin Vermette, Immigration Manager and Paula Violo, Immigration Coordinator at the firm, recently presented visa workshops at the University of New Hampshire and Southern University of New Hampshire for the international students.

The presentations, “Life after OPT,” provide the students with the opportunity to learn about and discuss the various types of non-immigrant visas and the immigrant visa “green card” process which permit them to live and work in the U.S. after they graduate.

Robin and Paula have also presented workshops at Dartmouth College, Franklin Pierce University, Middlebury College, Plattsburg University, Plymouth University and others.

On September 21, Orr & Reno hosted a workshop on Business Start Ups and Entity Choice, part its Legal Breakfast Series jointly sponsored with the Greater Concord Chamber of Commerce.

Attorneys Peter Burger, Heidi Cole and Jack Zaremba presented an overview of the basic elements required to choose among a limited liability company, partnership or corporation. They shared a Choice of Entity Comparison Chart with workshop attendees.

Peter is a business lawyer. He assists clients with buying and selling businesses, general business and tax counseling and succession planning offering his business clients well planned solutions that create value and afford certainty.

Heidi advises companies and individuals on a wide range of general corporate and business law matters including commercial contracts, corporate governance, entity formation, stock and asset sales and acquisitions, and business and operational agreements.

Orr & Reno Received United Ways Highest Honor

Orr & Reno, PA is pleased to announce it was recently honored by the United Way of Merrimack County as the recipient of the 2010 Rumford Award. The Rumford Society honors leadership giving at United Way. The Rumford Society accounted for over 40 percent of the 2009 United Way campaign.

In addition, Orr & Reno’s 2010 campaign has again been recognized as a United Way Pacesetter. The firm garnered 100 percent participation among attorneys and 90 percent of all employees. In total, the firm raised over 10 percent more than the 2009 campaign, which was the fifth highest total of all employer campaigns in the area despite the firm’s modest size of 60 employees.

Orr & Reno has a long history of supporting the United Way of Merrimack County through campaign support and attorneys holding leadership positions on the United Way board of directors and various committees. Since the firm was founded in 1946, four Orr & Reno attorneys have served as United Way Board President and seven attorneys have chaired the United Way Campaign. The United Way’s Rumford Society was established in 1984 to recognize high-level contributors. Dudley Orr, the firm’s founder and architect of its commitment to serving the community, was the highest individual giver in the campaign that year, and two current Orr & Reno lawyers have been members of the Rumford Society every year of its existence. The list of participants reads like a who’s who of past and current Orr & Reno attorneys. Most recently, attorney Marty Van Oot has served as president of the board and attorney Jim Bassett was the 2010 campaign chair.

“These leaders have mentored their colleagues so that they’ve had 100% participation in the campaign, with over half of those donors being members of the Rumford Society!” said Liz Hager, United Way Executive Director.

John Malmberg, President of the firm, noted in accepting the award, “Early in our history, our founders, Dudley Orr and Bob Reno, established a culture which values service to our community. Chamber and Orr & Reno Launch 2010 Legal Breakfast Series 

Orr & Reno, PA is pleased to announce it is partnering with Greater Concord Chamber of Commerce to present a Legal Breakfast Series covering topics relevant to small business owners, business and non-profit managers.

Orr & Reno Attorneys Make Record Number of Pro Bono Client Referrals 

Attorneys from Orr & Reno hit the phones to help the non-profit Legal Advice and Referral Center find lawyers willing to take on pro bono cases during a Pro-Bono Referral marathon in July. The attorneys worked the phones to recruit other New Hampshire attorneys to represent indigent New Hampshire residents who are in need of legal assistance. The group made 27 referrals, which is a record for 2010, especially noteworthy since this was a half-day marathon.

Uchida Teaches Legal Ethics Seminars 

Orr & Reno Attorney Richard Uchida has recently taught three continuing legal education seminars on legal ethics. One seminar was for the lawyers in the New Hampshire Department of Justice on various ethical rules applicable to government lawyers, and addressing ethical dilemmas recently encountered by lawyers in the department in the course of prosecuting cases and representing the State. A second seminar was for the New Hampshire Municipal Lawyers Association, addressing the ethics of social media use by lawyers. A third seminar was for real estate attorneys, addressing common ethical challenges they face, including multi-jurisdictional practice, trust accounting rules, electronic document technology and record retention.

Richard is a business lawyer with expertise in real estate development and all areas of land use planning and regulation. He is very active in the New Hampshire Bar Association, serving as the organization’s president from 2005 to 2006, and as a member of its Board of Governors from 1996-2007. Boston Globe Publishes Op-ed by Attorney Eggleton 

The Boston Globe, on Sunday, June 27, published Orr & Reno Attorney Jeremy Eggleton’s op-ed about the legal ramifications of his recent case in front of the NH Supreme Court, Mortgage Specialists v. Implode-Explode Heavy Industries, Inc.

Jeremy practices primarily with the firm's litigation department, working on litigation matters in a wide range of areas, such as contract, land-use, association governance, partition, employment, civil rights, negligence and constitutional litigation.

As a member of the firm's Media Law and First Amendment group, Jeremy has defended television, newspaper and internet clients from lawsuits at the trial and appellate court levels. Most recently, he briefed and argued Implode Explode Heavy Industries, Inc. v. Mortgage Specialists , a case before the New Hampshire Supreme Court that has garnered national attention for the issues it raises concerning the application of the First Amendment to anonymous speech on the internet, and the protection of online journalists writing on matters of public significance.

Fahey Presents to NH Center for Non-Profits 

Orr & Reno attorney Todd Fahey recently presented a workshop on nonprofit mergers and partnerships to members of the New Hampshire Center for Non-Profits. The workshop, entitled “Partnerships, Mergers and Everything In-Between: How to think about joining forces while avoiding the pitfalls,” was co-presented with Caroline Boyd, from the Animal Rescue League of NH and Terry Knowles from the Charitable Trusts Unit at the NH Department of Justice in early June in Concord.

Smith re-elected Chair of NHBA Section 

Orr & Reno attorney Maureen Smith was recently re-elected to the position of Chair of the Environmental and Natural Resources Law Section of the New Hampshire Bar Association, a position that she has held since September 2009. Maureen will continue to act as Chair until September 2011. The Section meetings have provided a number of continuing legal education programs to practitioners in the state, including programs on shoreland, renewable energy and administrative law topics. Maureen is also Vice-Chair of the NH Bar’s Ethics Committee.

Bassett Leads United Way Campaign Beyond Expectations 

The United Way of Merrimack County Annual Campaign chaired by Orr & Reno Attorney Jim Bassett exceeded expectations by raising more than $2.1 million, an increase of 2 percent from the previous year despite the challenging economic times. In addition, Attorney Martha Van Oot served as chair of the United Way board and Attorney Robert Carey served on the board.

Jim led the strategy by making account calls on top executives in Merrimack County, securing UWMC employee campaigns and making his own personal gift to the organization. In addition, Orr & Reno had 100 percent attorney participation and very high staff support of the campaign that resulted in the fifth biggest company fundraising effort. UWMC engages approximately 10,000 donors and works with over 1,000 volunteers every year. The United Way of Merrimack County focuses on the community’s most critical needs: education, health and economic self-sufficiency.

Jim is a trial lawyer and legal advisor with extensive trial and appellate experience in federal and state courts, trying numerous cases to verdict, and has represented many clients in mediation and arbitration. Immigration Practice Presents on Hiring Foreign Physicians 

Orr & Reno attorney Steve Winer and Immigration Manager Robin Vermette presented an Immigration Overview on Hiring Foreign Physicians to the New Hampshire and Vermont Associations of Medical Staff Services at the Associations’ Joint Annual Education Conference held in Burlington, VT in April. Topics covered were J-1 foreign medical graduates, the J-1 waiver process, employment contracts for physicians, H-1B work visas and the green card process.

 
Chapman & Smith Present on Ethics 

Orr & Reno attorneys Bill Chapman and Maureen Smith spoke to almost 200 lawyers on June 18, 2010 about ethics issues during a presentation of “Professional Misconduct: Advising a Client on Arguably Illegal Conduct.” The ethics program was part of the New Hampshire Bar’s Continuing Legal Education program for lawyers who practice in this state. Both Bill and Maureen are members of the Ethics Committee of the New Hampshire Bar Association. Maureen is the Vice-Chair of that committee. She also spoke about confidentiality and social media at a Hanover, NH Chamber of Commerce breakfast series in early June.

 
Website Wins Protection Under Freedom of the Press 

On May 6, 2010, Orr & Reno Attorney Jeremy Eggleton won an important victory at the New Hampshire Supreme Court for freedom of the press in The Mortgage Specialists, Inc. v. Implode Explode Heavy Industries, Inc.. The case centered on the “Implode-O-Meter,” a news aggregating website focused on the health of the mortgage industry. In 2008, the Implode-O-Meter published a PDF file containing financial figures related to Mortgage Specialists, a New Hampshire mortgage broker/lender, that Implode-O-Meter obtained from a confidential source. One reader, “brianbattersby” made comments on the document that Mortgage Specialists alleged to be defamatory. Mortgage Specialists sued the Implode-O-Meter seeking a court order to remove the document from the website, to prohibit republication, and to compel Implode-O-Meter to disclose the identities of the confidential source and of “brianbattersby.” Eggleton argued that Implode-O-Meter is a legitimate news-gatherer and deserves the constitutional protections afforded to members of the press. The Supreme Court held that the Implode-O-Meter had the right to publish the document under the First Amendment, and clarified well established source protections for the traditional press, while extending them for the first time in the internet context, stating “the fact that Implode operates a website make it no less a member of the press.” In addition, with this ruling, New Hampshire is just the third state to establish a formal test requiring serious consideration of the rights of anonymous speakers before a court orders an anonymous speaker to be unmasked. The ruling affirms New Hampshire’s longstanding commitment to free speech and a free press.

 
Clients Receive $3.5 Million Dollars for Breach of Contract 

Orr & Reno Attorney Lisa Snow Wade has led a group of clients through lengthy, complex administrative, trial and appellate proceedings which culminated in a $3.5 million judgment against the New Hampshire Department of Health and Human Services (DHHS). Lisa represented seven providers of court-mandated services for troubled youth. The case against DHHS stemmed from decisions made by the Department dating back to 2004 in which contractual obligations to the providers were underpaid while DHHS returned budgeted resources to the general legislative fund. The actions of DHHS caused serious financial hardship to the providers and led at least one provider to temporarily close a facility and reduce services. On May 4, 2010, the Merrimack Superior Court agreed with prior decisions in the lengthy proceedings calling the actions of DHHS “inappropriate” and awarded all unpaid sums due under the contracts to the providers, plus interest. Orr & Reno prevailed on several causes of action, including breach of contract and unconstitutional taking without compensation. Attorney Wade stated that the ruling underscored an element of fairness that’s expected in the State’s dealings with outside groups.

 
Van Oot Receives United Way Volunteer Award 

In May, the United Way of Merrimack County presented Orr & Reno attorney Martha Van Oot with the Leo M. Rubin Volunteer Award. The award is presented to volunteers who routinely demonstrate a high level of commitment to the organization. Marty has served on the Board of Governors for six years and is the out-going President.

“Marty provided an amazing two years of leadership and change,” said United Way of Merrimack County Executive Director Liz Hager. “After she returned from a national United Way conference, she announced that we must transition to Community Impact. She then spent many hours helping to figure out how best to do that, serving on the Community Impact Committee and the Physical and Mental Health and Wellness Review Team. She saw the first year of the process through to an extremely successful culmination.”

As it transformed the structure and analysis of how to distribute its funds, United Way of Merrimack County has also been engaged in merger discussions with three other United Way organizations. Thus, added Hager, “Even as our Impact work was happening, Marty served on the Merger Team and thoughtfully worked with her peers from Heritage, Upper Valley and North Country United Ways to work out how to legally merge the organizations and still ‘stay local.’ We could never have gotten this far without Marty's leadership.”

Marty is a trial attorney with extensive trial experience in both state and federal courts, representing clients in complex commercial litigation, legal and other professional malpractice defense, and employment matters. She is frequently retained as a private mediator, and often presents at continuing legal education programs on professional ethics, profession liability, employment law and trial practice.

 
Uchida Named Trustee of Franklin Pierce Law Center 

Orr & Reno Attorney Richard Uchida was recently named as a trustee of Franklin Pierce Law Center in Concord, N.H. As a graduate of the Center and past adjunct professor, Richard’s new level of involvement allows him to help shape the school’s legacy and achieve success in its new affiliation with the University of New Hampshire. He also serves as vice chair of the Colby College Board of Trustees, where he studied as an undergraduate.

On May 18, Orr & Reno hosted a workshop on Basic Business Succession Planning, part of its Legal Breakfast Series jointly sponsored with the Greater Concord Chamber of Commerce.

Attorneys Peter Burger and Vera Buck presented an overview of succession planning options available to move wealth in the form of a closely held business from one generation to the next.

Attorney Rice Presents on Ethics 

Attorney Emily Gray Rice presented a Continuing Legal Education workshop on trial ethics on Thursday, May 6. The workshop titled, “Light My Way: How to Maximize Your Rewards and Minimize Your Risks in Pretrial Discovery” was presented by the New Hampshire Association for Justice in Bedford, NH. Topics covered include, preparing and taking depositions, discovery in complex cases and computer forensics.

Emily is a trial attorney with extensive experience in federal and state courts. She also maintains a private mediation practice. She regularly defends legal, medical and other professional malpractice claims, and also defends clients in employment, media and civil rights litigation.

 
April Legal Breakfast Series: Estate Planning 101 

On April 20, the firm hosted a workshop on Estate Planning 101, part of its Legal Breakfast Series presented with the Greater Concord Chamber of Commerce.

Client Receives Approval for State’s Second Wind Park 

With assistance from attorneys at Orr & Reno, Granite Reliable Power, the developer of a 99 MW wind power project in Coos County, recently obtained the final state approval necessary to begin construction on what will be New Hampshire's second commercial wind park. On April 15, 2010, the NH Supreme Court decided not to accept the Industrial Wind Action group's appeal of the decision from the NH Site Evaluation Committee. On behalf of GRP, Orr & Reno successfully argued to the Court that the Committee's 16 month adjudicative review and approval was lawful and reasonable. Under New Hampshire law, the Site Evaluation Committee is responsible for deciding all state and local regulatory issues applicable to energy projects, and in this case held nine days of hearings culminating in a unanimous decision granting GRP a certificate to construct and operate the wind park. Orr & Reno's energy and regulated utilities practice represents a number of renewable energy project developers and utilities.

 
Orr & Reno Administrator Elected President of NH Legal Administrators 

Maureen McLean, the Director of Finance and Administration at Orr & Reno, was recently elected President of the Granite State Association of Legal Administrators. McLean has been involved with the group since 2003 and previously served as vice-president for two years. She will begin her term on April 1, 2010.

Prior to joining Orr & Reno 11 years ago, McLean was Director of Finance for the Town of Goffstown and Internal Auditor/Financial Analyst at Digital Equipment Corporation. She has a Master of Business Administration from Babson College and has been very active in her hometown of Goffstown serving on many boards including, the Library Trustees, elementary and middle school parent groups, Little League and Babe Ruth.

 
March Legal Breakfast Series: Zoning & Planning: Concord NH Style 

On March 16, the firm hosted a workshop on Zoning and Planning, part of its Legal Breakfast Series presented with the Greater Concord Chamber of Commerce.

Firm Exceeds Environmental Goals 

Orr & Reno is proud to report that it has surpassed its paper waste reduction goals under the New Hampshire Department of Environmental Services Aspiring Leaders program. Under that program, the firm committed to a goal of recycling all of its office paper and purchasing only 20 percent post-consumer recycled content paper by 2011. Both goals were achieved two years early. In 2009, the firm recycled all of its office paper and all new paper purchased was 30 percent post-consumer content, which increased the recycled portion of the paper.

Orr & Reno was the first law firm in the state to join the Aspiring Leaders program, which encourages better environmental performance beyond the minimum required by laws and regulations. The program is the first tier of the NH Environmental Leadership Initiative for New Hampshire businesses with a strong environmental commitment. The New Hampshire Environmental Leadership Initiative was created by the state in December 2007 to achieve sustainability through adoption of best business practices. Orr & Reno’s waste reduction efforts work to reduce both harm to the environment and costs borne by the firm’s clients.

 
The Effect of Recent Amendments to the New Hampshire Interest & Dividends Tax on Distributions From Your LLC 

The New Hampshire Interest and Dividends Tax, RSA 77 (the “I&D Tax”) imposes a 5% tax on interest and dividends received by New Hampshire residents.

Prior to January 1, 2009, the I&D Tax was imposed on distributions from limited liability companies (“LLCs”) only if the ownership interests in the LLC were represented by “transferable shares.” Because most closely-held LLCs impose some form of transfer restrictions on their ownership interests (e.g., a right of first refusal in favor of the LLC or other LLC members upon a proposed transfer by a member, or a right of non-transferring LLC members to approve new members), the I&D tax effectively did not apply to distributions from most LLCs.

For tax years ending on or after December 31, 2009, the “non-transferable shares” exception has been repealed, and distributions received by a New Hampshire resident from any LLC are now potentially subject to the 5% I&D Tax.

All is not lost, however. A member’s LLC distributions will not be subject to the 5% I&D Tax to the extent that those distributions represent the value of personal services provided by the member to the LLC (“reasonable compensation”). Regulations proposed to be issued under the amended I&D Tax statute provide that a member distribution will not be subject to the I&D Tax to the extent that the LLC is allowed a compensation deduction for purposes of the New Hampshire Business Profits Tax imposed by RSA 77-A (the “BPT Tax”). See proposed Rev 903.10.

However, on audit, the New Hampshire Department of Revenue Administration (the “DRA”) has every incentive to minimize the amount of LLC distribution characterized as reasonable compensation and re-characterize these amounts as a distribution subject to the I&D Tax. When one considers that every dollar of distribution that can be re-characterized from reasonable compensation to taxable member distribution will result in the imposition of not only the 5% I&D Tax on the receiving member, but also will result in the imposition of the 8.5% BPT Tax on the LLC, it is clear that this will be a hot audit issue for the DRA in coming years.

The question of what is “reasonable compensation” is inherently based on the facts and circumstances of each taxpayer. However, there is a large body of federal and state tax case law and guidance on the subject, which offers a roadmap to taxpayers wishing to place themselves in the best possible position to defend against DRA attempts to impose the I&D Tax on a member’s reasonable compensation. LLCs and their members can take steps to calculate and document the value of members’ compensation, but to maximize effectiveness, these compensation planning steps should be taken now, early in the tax year, and not when the issue has been identified by the DRA on audit.

In the case of LLC’s created to hold real estate or other investments, special problems may arise in determining reasonable compensation, given that a DRA auditor may, without more, conclude that the LLC engages in little activity, and thus, any compensation should be minimal. We can provide special help and guidance if your LLC is such a company and a challenge to the compensation deduction occurs.

Ron Snow Honored by YMCA 

The Concord Family YMCA presented a lifetime achievement award posthumously to the family of former Orr & Reno Attorney Ronald Snow at the YMCA's 157th Annual Meeting on February 9, 2010. This award recognized Ron's work and service to the Concord community and to the Concord Family YMCA. For many years, Ron was an active volunteer, member and board member of the Concord Y and was President of its Board from 1974 to 1976. Bob Wiita, who knew Ron professionally as well as through Ron's volunteer work with the YMCA shared with attendees at the Annual Meeting many examples of Ron's exemplary professional standards; his commitment to the community where he worked and raised his family and his passion to serve others less fortunate than himself. Bob’s presentation included stories of Ron's leadership role at the Concord Family YMCA; and his enthusiasm for entertaining young Y members with his magic show talents.

According to Concord YMCA Financial Development Director Susan Sokul, “The Concord Family YMCA was very pleased to present to the family of Ron Snow this lifetime achievement award for his leadership, fellowship, character and service to this organization exemplifying the YMCA core values of caring, honesty, respect and responsibility throughout his family and professional life.”

 
Bar Association Recognizes Orr & Reno for Pro Bono Work 

Orr & Reno, PA is the 2010 recipient of the Pro Bono Equal Justice Award presented by the New Hampshire Bar Association (NHBA) at the mid-Winter meeting held February 12, 2010.

New Hampshire Bar President James J. Tenn, Jr. presented the award to Orr & Reno for the breadth and depth of the firm’s commitment to the Pro Bono Program and the clients it serves. Attorney Martha Van Oot accepted the award on behalf of the firm.

Smith and Uchida Present on Legal Ethics 

Attorneys Maureen Smith and Richard Uchida will be part of a panel focusing on current legal ethics issues at the New Hampshire Bar Association’s Mid-Winter Meeting to be held Friday, February 12.

Both Maureen and Richard have addressed professional responsibility issues for many years. They are long-standing members of the Bar’s Ethics Committee, which issues ethics opinions and reviews and makes recommendations to lawyers and the New Hampshire Supreme Court on ethics issues arising from the New Hampshire Rules of Professional Conduct. Maureen currently serves as Vice Chair of the Committee. Both lawyers have served as faculty members and lecturers at lawyer ethics seminars, including public sector lawyer training, professional liability seminars and programs on specific ethics rules and opinions.

Maureen is an environmental lawyer with more than 30 years of experience in the public and private sectors. She currently serves as Chair of the Environment and Natural Resources Section of the New Hampshire Bar. Richard is a respected business lawyer with expertise in real estate development and all areas of land use planning and regulation and served as the President of the New Hampshire Bar Association from 2005 to 2006. Both represent clients before the New Hampshire Supreme Court’s Professional Conduct Committee.

 
Uchida to Co-Chair New NHBA Task Force 

Attorney Richard Uchida will co-chair a task force for the New Hampshire Bar Association to create a new leadership academy. That academy will be created to train newer lawyers to become leaders in the New Hampshire Bar Association, in the legal profession and in their communities, and to enhance their individual professional leadership skills.

Richard is a business lawyer with expertise in real estate development and all areas of land use planning and regulation. He is very active in the New Hampshire Bar Association, serving as the organization’s president from 2005 to 2006, and as a member of its Board of Governors from 1996-2007. He is also involved in teaching and other outreach initiatives as a past adjunct professor of Professional Responsibility at Franklin Pierce Law Center and as a lecturer at numerous state and national bar meetings on leadership and the future of the profession.

Richard will co-chair the task force with current NHBA Vice President Attorney Jennifer Parent. Orr & Reno Attorney Joshua Pantesco will also serve on the task force.

Family Law Chair Contributing Author to New Book about Divorce in New Hampshire 

Attorney Judy A. Fairclough is a contributing author to the new book “A Practical Guide to Divorce in New Hampshire.”

The book, published by MCLE New England, provides straightforward guidance, applied law and inside tips from marital masters and experienced divorce practitioners from around the state who share their techniques, tips, strategies and best practices for handling a variety of legal issues in the context of divorce.

Fairclough specializes in family law and chairs the family law practice group at Orr & Reno. She handles a variety of cases including divorce, modification actions, prenuptial agreements, and marital mediation. Fairclough is the vice chair of the family law section of the New Hampshire Bar Association, case review attorney for the Pro Bono Referral Program, and a New Hampshire certified marital mediator. In 2009, she was recognized as a “Best Lawyer in America” for family law.

 
Orr & Reno, P.A. Elects 2010 Management Committee 

The lawyers at Orr & Reno, P.A. reelected the three members of the firm’s Management Committee for additional one-year terms. John Malmberg will continue to serve as President, Steve Winer as Secretary and Lisa Snow Wade as Treasurer. George Roussos was reelected Chairman of the Board.

John is a member of the Health Care practice group. He assists health care providers to conduct their day-to-day operations, develop arrangements with other parties by contract or joint venture, comply with and navigate regulatory requirements, and resolve disputes.

Orr & Reno Prevails in Two Important Land Use Cases 

Attorneys Jim Bassett and Rachel Goldwasser recently prevailed on behalf of their client in an appeal to the New Hampshire Supreme Court regarding partition of jointly-owned real estate. The Merrimack County Probate Court permitted partition of the property, and the co-owner appealed. Attorneys Bassett and Goldwasser argued before the Supreme Court that the probate court had correctly found the parties did not previously agree to partition the property, and that the probate court properly applied the New Hampshire Supreme Court case of DeLucca v. DeLucca, 152 N.H. 100 (2005), permitting partition and sale of the property. In a ruling issued on December 11, 2009, the Supreme Court agreed, allowing the client to go forward with his desired sale of the property via a private contract.

A case raising the question of whether backlot owners near a lakeshore could claim the right to use a beach lot that belonged to a shorefront owner. Attorney Jeremy Eggleton defended the appeal for the shorefront owners, and successfully argued that no common scheme existed for the various lots in the area that might entitle backlot owners to use the beach. In issuing its opinion, the Court set forth the state of New Hampshire law on usage rights arising from a common scheme, and established new law on the question of whether a town’s ownership of a piece of property via tax deed affects the rights of individuals who claim adverse possession over that property. Answering a question that had not been raised in previous rulings in this area of law, the Court held that any rights of usage that had been accumulated by the adverse claimants over the years were extinguished completely when the town took possession of the property by tax deed.

Peter Burger Elected Chairman of Greater Concord Chamber of Commerce 

Attorney Peter F. Burger was recently elected chair of the board of the Greater Concord Chamber of Commerce.

Bill Chapman Featured in Concord Monitor Editorial 

Attorney Bill Chapman was recognized in the Concord Monitor’s Editorial on Thursday, November 12 as a “A crusader for the public's right to know.” The editorial highlights three of the many high profile cases in which he has championed the rights of the press to protect sources and of the public to access to information, and recognizes the balanced counsel he provides to journalists about stories before they publish. Todd Fahey Article on Non-Profit Mergers, Reorganizations and Dissolutions in Bar Journal 

Attorney Todd C. Fahey recently had an article published in the September/October issue of the New Hampshire Bar Journal titled “Options for Faltering New Hampshire Nonprofits: A Practical and Mission-Based Approach to Assessing and Managing Mergers, Reorganizations and Dissolutions.”

Orr & Reno Prevails in Two Important Land Use Cases 

Attorneys Jim Bassett and Josh Pantesco recently obtained a favorable decision in an important land use case before the Rockingham County Superior Court. Orr & Reno’s clients had purchased a parcel of land in Greenland, New Hampshire, a portion of which is subject to a conservation easement. With the support of the holders of the conservation easement, the landowners sought to build a residence on the unencumbered portion of the parcel. An abutting neighbor filed suit, in part seeking to enforce the conservation easement. After a four day trial the Judge ruled the Court found that the abutting neighbor did not have standing to enforce the conservation easement. The Court also ruled in favor of the landowners on related claims involving the doctrines of equitable servitudes and the interpretation of express easements.

In a separate action before the Merrimack County Superior Court, Jim Bassett and Josh Pantesco prevailed for a client that challenged the constitutionality of the application of a zoning ordinance to a property it plans to develop. The Court reversed a decision of the Zoning Board of Adjustment and found that the ordinance was unconstitutional. Agreeing with the arguments made by Attorneys Bassett and Pantesco, the Court found that the ordinance as applied to the property was not rationally related to its stated purpose.

Firm Welcomes Arnold & Cretella 

Orr & Reno is pleased to announce that two new attorneys, John L. Arnold and Michael T. Cretella, have joined the firm as general practitioners.

Arnold graduated from Northeastern University School of Law and received a Bachelor of Arts degree in Economics from Connecticut College. While attending law school, Arnold was a judicial intern for The Honorable Nathaniel M. Gorton in the U.S. District Court for the District of Massachusetts. Arnold worked at the firm as a summer associate and also interned in the U.S. Attorney’s Office in Concord, New Hampshire.

Cretella graduated from Middlebury College and magna cum laude from Vermont Law School. During law school, he completed a judicial externship with Chief Justice Paul Reiber of the Vermont Supreme Court in Montpelier, Vermont and was a summer associate at the firm.

 
Burger to Present at Business Law Seminar 

Attorney Peter Burger will present at the New Hampshire Bar Association’s continuing legal education seminar on “Hot Topics in LLCs” on November 5 in Concord.

The seminar will focus on practice under the NH Limited Liability Company Act, the law that governs the organization and operation of what is becoming perhaps the most common form of business entity. Burger and other faculty members will address a variety of timely and important issues regarding limited liability companies that arise frequently in their representation of New Hampshire businesses. There will be important updates (including the new changes to the NH tax provisions applicable to limited liability companies), and many practical practice tips and suggestions.

Chapman Honored with First Amendment Award 

The Nackey S. Loeb School of Communications has selected Orr & Reno attorney William Chapman as the 2009 recipient of the First Amendment Award.

Chapman has been representing New Hampshire media outlets for 37 years. He has argued dozens of cases involving access to records and government proceedings and has helped set the standard for protecting reporters’ sources in criminal cases, and public access to government records. According to the Loeb School announcement about the award, “His clients and colleagues note that he literally wrote the book on public access to New Hampshire government. “Tapping Officials' Secrets: The Door to Open Government in New Hampshire,” was published as a chapter in Tapping Officials' Secrets Compendium, by The Reporters Committee for Freedom of the Press.”

Chapman will receive the school’s First Amendment Award Nov. 12 at the Radisson Hotel in Manchester, during a dinner featuring award-wining national columnist and network television commentator Kathleen Parker.

The First Amendment Award was established to honor New Hampshire residents who protect First Amendment liberties. Other recipients have been former Attorney General Philip McLaughlin, former Keene Sentinel Editor Thomas Kearney, state Rep. Daniel Hughes, The Citizen of Laconia and Dover City Councilor David Scott.

Justin Boothby Secretary of the Friends of Forgotten Children 

Attorney Justin Boothby was recently elected as the Secretary for the non-profit organization Friends of Forgotten Children (FOFC) in Concord, New Hampshire. FOFC helps children, families and seniors experiencing hardship to improve their quality of life and to insure greater stability.

Boothby has extensive experience in the financial services and technology industries, and worked as a technology analyst covering the financial services industry. Michael Ramsdell Elected Vice Chair of NHBA Section 

Attorney Michael Ramsdell was recently elected Vice Chair of the Business Litigation Section of the New Hampshire Bar Association (NHBA).

Ramsdell is a trial attorney with over 20 years of experience in commercial, civil and criminal litigation. He often represents clients in complex, commercial disputes; trademark and copyright infringement cases; state and municipal tax abatements and appeals; zoning and planning board appeals; environmental contamination matters; and employment claims. His criminal defense caseload includes federal crimes, particularly white-collar crimes, state felonies and misdemeanors, and D.W.I.

 
Laboe Presents OSHA Audio Conference 

Attorney James Laboe conducted a national audio conference on the new OSHA enforcement changes for Safetysmart.com on June 25.

Laboe discussed the changes to OSHA’s inspection procedures, including how inspectors evaluate violations and required safety records. As a leading OSHA expert, he offered an explanation of the biggest OSHA enforcement changes affecting worksite inspections.

Laboe is a trial attorney with experience in state and federal courts. Prior to joining the firm, he practiced for several years with Arent Fox in Washington, D.C. He has defended numerous employers in OSHA civil enforcement actions and represented employers in OSHA inspections and civil enforcement actions before the Occupational Safety and Health Review Commission, and state agencies.

Chapman and Smith Present at NHBA Seminar 

Attorneys William L. Chapman and Maureen D. Smith taught members of the New Hampshire Bar about client confidentiality and other select lawyers’ ethics issues on June 17, 2009. They presented as chair and faculty in a Continuing Legal Education program sponsored by the New Hampshire Bar Association (NHBA) called “The Rules Say What??” More than 100 lawyers statewide participated in the program.

Chapman chaired the program as a NHBA Continuing Legal Education Committee member. He is a member of the NHBA’s Ethics Committee and Federal Practice Section, as well as a faculty member at libel and privacy seminars sponsored by the American Newspaper Publisher Association, Practicing Law Institute, the New England Press Association, and the New Hampshire Bar Association. Chapman concentrates his practice on the First Amendment and media law and property tax and commercial litigation.

Smith was a faculty member in the ethics program and made a presentation on lawyers’ ethical obligations in sending and receiving electronic documents that contain “metadata.” Smith and other faculty members also presented a hypothetical “skit” to elicit audience discussion. Smith is Vice Chair of the NHBA’s Ethics Committee and has been a member of the Committee since 2002. She worked with other Committee members to publish a formal Ethics Committee Opinion on metadata in May 2009. She has been a faculty member and lecturer at lawyer ethics seminars for many years, including training seminars on public sector ethics, revised ethics rules and multijurisdictional practice. She has also authored articles on lawyer ethics issues. Smith concentrates her practice in the energy, environmental and professional liability areas.

 
Goldwasser Accepted to 2010 Leadership Concord Class 

Attorney Rachel Aslin Goldwasser has been accepted to participate in the 2010 Leadership Concord class conducted by the Greater Concord Chamber of Commerce.

The Chamber’s 10-month program begins in September with a retreat followed by a series of day-long work sessions through graduation in June. Participants are chosen for their commitment to the greater Concord community and their leadership potential. The program connects participants with key players in business, organizational, governmental and civic leaders.

Prior to joining Orr & Reno in 2008, Rachel clerked for United States District Judge John A. Woodcock, Jr. in Maine and completed a full time externship with First Circuit Judge Jeffrey R. Howard in Concord. She also interned in the natural resources and litigation divisions of the Maine Attorney General's office. At Vermont Law School, she was a member of the Vermont Law Review and was a research associate at the Institute for Energy and the Environment. While earning her master’s degree at the Yale School of Forestry and Environmental Studies, she served as a research associate at the Yale Center for Environmental Law and Policy, and was a teaching fellow for a course on Environmental Law and Policy.

 
Attorney Increases Involvement with Alma Mater 

Richard Uchida, an attorney with the law firm of Orr & Reno P.A., was recently elected vice chair of the Board of Trustees of Colby College in Waterville, Maine.

Uchida’s election as Vice-Chair of the Board will expand his involvement with this Alma Mater. He is currently chair of the Educational Policy Committee, which is responsible for ensuring that the college’s educational mission and values are met. Uchida will join the Executive and Budget and Finance Committees and will work with the college president and its deans, together with academic personnel and other committee members to evaluate and improve the academic program at Colby pursuant to new curricular planning efforts underway at the College.

Uchida is a respected business lawyer with expertise in real estate development and all areas of land use planning and regulation. He served as the President of the New Hampshire Bar Association from 2005 to 2006.

 
Attorneys Elected to NHBA Sections 

Attorneys Connie Boyles Lane and Maureen D. Smith were recently elected to new leadership positions within the New Hampshire Bar Association (NHBA).

Lane was elected chair of the Real Property section of the NHBA. A former executive director of two nonprofit organizations, Lane’s legal focus is on business and real estate with an emphasis on not-for-profit, small business, and land use. Lane has recently been a presenter at two Continuing Legal Education events, one regarding the impact of bankruptcy on real estate transactions and one on commercial lending and title issues. Lane has also recently conducted a presentation for the New Hampshire for the Center of Nonprofits on the new Form 990.

Smith was elected to chair the Environmental and Natural Resources Law section. She was also recently appointed to act as Vice Chair of the NHBA’s Ethics Committee. Smith joined Orr & Reno in 2008, bringing over 30 years of environmental law experience in state and federal government and private practice. Previously, she worked as Senior Assistant Attorney General handling complex litigation and legislative initiatives regarding environmental issues. She also worked as an environmental lawyer in the U.S. Environmental Protection Agency and in private practice. Smith has been a faculty member and lecturer in many environmental and lawyer ethics seminars. She has made presentations at numerous state and regional seminars on environmental issues, including national and regional air initiatives. Most recently, she spoke at the New Hampshire Business and Industry Association’s annual Waste Conference about hazardous waste issues. She has also conducted seminars for both public and private sector attorneys on professional conduct, including a June 2009 presentation on ethical obligations surrounding electronic transmission of documents containing metadata.

 
Robert Carey Presents Mock Trial 

Attorney Robert S. Carey presented a mock trial at the Hillsborough County Court House in Nashua on Saturday, May 16 as part of the “Surveyor in Court” seminar held by the New Hampshire Land Surveyors Association and University of New Hampshire.

The mock trial portion of the two-day seminar featured Carey and an attorney from the McLane Law Firm. They re-tried an actual boundary line case from several years ago. Using the same surveyors who had testified in the actual case, Carey and the other lawyer presented case openings, direct examinations, cross-examinations, and closing statements for attendees who served as jurors for the trial. The “Surveyor in Court” seminar offered participants valuable insight, practical tips, and key strategies for handling depositions, testifying in court, and presenting materials in legal matters.

“It was a big success,” said Carey. “The attendees got a chance to see how attorneys put a case together, using expert testimony and exhibits. Based upon the positive responses we received from the attendees, I think it succeeded in giving them a ‘real time’ feel for a trial.”

Carey is an experienced trial lawyer specializing in commercial litigation, white-collar criminal defense, medical malpractice, products liability and general civil litigation. Carey is also involved in the United Way of Merrimack County where he is on the Board of Governors and the Daniel Webster Chapter of the American Inns of Court.

 
Todd Fahey joins the Riverbend and YMCA Boards 

Attorney Todd Fahey recently joined the Boards of Directors of Riverbend Community Mental Health and the Concord Family YMCA.

Fahey is a business lawyer who handles corporate, non-profit and real estate matters. His experience includes counseling on business issues, leasing issues between tenants and landlords and representation of charitable trusts, foundations and non-profit organizations.

Riverbend Community Mental Health, Inc is a private, non profit, 501 (c)(3) agency that provides responsive, accessible, and effective mental health services to Merrimack County’s adults, children and families of all ages who experience a range of disorders, illnesses and life challenges with special emphasis on the low income population.

Susan Geiger Receives BIA Above and Beyond Award 

Attorney Susan Geiger has been recognized by the Business and Industry Association as a recipient for the Above and Beyond Award. She received the award at the Association’s Annual Business Meeting on Monday, May 18.

The award is given to BIA members for their contributions to the Association and the greater New Hampshire business community. BIA staff members select recipients to acknowledge members who do “much of the heavy lifting” for the Association’s New Hampshire Chapter.

Geiger focuses her practice on energy and telecom matters, alternative dispute resolution and government relations. Recently, she assisted a client in obtaining a certificate of site and authority to build the first commercial scale wind energy facility in New Hampshire.

 
Richard Uchida’s Cooking Skills Command Top Bid at YMCA Auction 

Attorney Richard Uchida claimed the top spot for the Concord YMCA’s fifth Annual Spring Social charitable auction. The three-hour auction event, In Good Spirits, was held at Bektash Temple in Concord and benefited the Kids Campaign Fund. Uchida donated his cooking skills in a prize that included an Italian dinner for six prepared by the attorney himself. After a starting bid of $300, the item quickly achieved the highest bid of the night, $1000.

Uchida is a business lawyer with expertise in real estate development and all areas of land use planning and regulation. He is heavily involved in the New Hampshire Bar Association, including service as its president, teaching and other outreach initiatives as a past adjunct professor on Professional Responsibility at Franklin Pierce Law Center and a lecturer at numerous state and national bar meetings on leadership and the future of the profession.

 
Michael Ramsdell joins firm

Mike is a trial attorney with more than 20 years experience in commercial, civil and criminal litigation. A former Associate Attorney General and homicide prosecutor for the New Hampshire Department of Justice for ten years prior to commencing private practice, he now represents an array of clients, from Fortune 500 companies to small businesses and individuals, in federal and state courts in civil and criminal cases. Mike’s civil cases include complex, commercial disputes; trademark and copyright infringement cases; state and municipal tax abatements and appeals; zoning and planning board appeals; environmental contamination matters; and employment claims. Emily Rice and Lisa Wade at Evidence 2009 

Attorneys Emily Gray Rice and Lisa Snow Wade will participate in the upcoming seminar, Evidence 2009, sponsored by the New Hampshire Bar Association on May 28. The full-day seminar for attorneys who try cases will cover the practical use of the Rules of Evidence in civil and criminal trials. The Honorable Kathleen A. McGuire of the Belknap Superior Court and noted practitioners will discuss and analyze how to present a case at trial based upon the use of evidence that will make the most effective impact on the fact-finder.

Rice’s presentation will focus upon e-discovery, the authentication of exhibits and introducing electronic information into evidence. Wade will discuss computer-based demonstrative evidence.

Rice is a trial attorney with extensive experience in federal and state courts and a private mediation practice. She regularly defends legal, medical and other professional malpractice claims, and also defends clients in employment, media and civil rights litigation. She is a member of the adjunct faculty at Franklin Pierce Law Center where she teaches trial advocacy. Rice will also be serving as a faculty member for the New Hampshire Association for Justice’s Trial Practice Academy Series held this spring.

Wade is an experienced trial attorney, having tried cases to verdict in both state and federal courts. She has extensive experience with cases involving sophisticated e-discovery issues and extensive databases. She is also an adjunct Professor at New England College for the Master’s in Health Administration Program.

Jim Laboe has been selected to join the Greater Concord Board of Directors for Child and Family Services 

Attorney James F. Laboe has been selected to join the Greater Concord Board of Directors for Child and Family Services for a three-year term. As the oldest children’s charitable organization in New Hampshire, Child and Family Services is dedicated to advancing the well-being of children by providing an array of social services to strengthen family life and by promoting community commitment to the needs of children. The department has a corporate Board of Trustees but relies on regional Boards, such as the one in Concord, to successfully implement their goals locally.

Richard Uchida honored by NH Bar Association 

Attorney Richard Uchida was recently honored by the New Hampshire Bar Association as the recipient of the 2009 L. Jonathan Ross Award for Outstanding Commitment to Legal Services for the Poor.

Using his experience in real estate and general business matters, Richard has provided pro bono work for underprivileged clients and been extremely active in the mission of providing access to legal services to all. With his position of Delivery of Legal Services Chair on the New Hampshire Supreme Court Access to Justice Commission, Richard works to further initiatives that provide free and reduced legal services for the poor in NH. He is also very involved in the NH Bar Foundation that strives to provides justice for all.

In addition to taking pro bono cases, and assisting in the referral and distribution of pro bono cases to other attorneys across the state, Uchida has been the key facilitator for the past eighteen months of a project to improve the coordination and planning for the provision of civil legal services for the poor across New Hampshire. He has also been an advocate both in New Hampshire and nationally for the improvement of civil legal services for the poor – including the advancement of “Civil Gideon” – the right to counsel for anyone facing the loss of shelter, familial relationships or basic medical or governmental benefits necessary for survival.

In accepting the award, Uchida cited the current funding crisis for civil legal services for the poor - a crisis that threatens to reduce resources in New Hampshire by as much as 50%. He challenged other attorneys to “step up” by contributing to legal services organizations, lobbying banks for better rates on the Interest On Lawyers Trust Accounts (IOLTA) program, taking more pro bono cases and urging the Legislature to salvage funding for civil legal services for the poor.

Attorneys Vera Buck and Judith Fairclough were admitted as directors and shareholders in the firm effective January 1.

Drawing on her master’s degree in taxation and over 25 years experience, Buck concentrates her practice on trust, estate, and business succession planning; administering estates, trusts, and guardianships; and litigating complex probate cases. She provides an array of estate planning services including the preparation of wills, trusts, powers of attorney, and a variety of more sophisticated planning services for the disposition of family wealth and sheltering of assets from income, gift, estate, and generation-skipping transfer taxes. Orr & Reno Wins Important Land Use Preemption Case before the New Hampshire Supreme Court 

Attorneys Jim Bassett and Jeff Spear recently won an important victory before the New Hampshire Supreme Court. The Town of New London had imposed a series of restrictions on our client’s historic dock on Lake Sunapee, purporting to limit the number of boats and users present at the dock at any one time. Bassett and Spear argued that the Town was preempted by state wetlands statutes and regulations from placing any limitations on use of the dock to store and use boats. In a detailed ruling issued on December 5, 2008, the Supreme Court agreed. It found that renovations to the dock approved by the Wetlands Board of the N.H. Dept. of Environmental Services, together with the comprehensive statutory and regulatory framework for managing use of the State’s waters, preempted the Town’s attempts to restrict the use of the dock for personal boating and recreational use.

NHNP Seminar 

On January 14, 2009, Connie Boyles Lane and Jack Zaremba presented at a seminar sponsored by the NH Center for Nonprofits entitled "The New 990 Shines a Spotlight on Board Governance.” The workshop focused on the major changes in the new IRS Form 990 and how those changes affect governance issues for nonprofit boards. Connie and Jack were joined by Kelli Boyle of the Concord, New Hampshire accounting firm of Nathan Wechsler & Company, P.A.. Connie, Jack and Kelli discussed not only the changes required by the new Form 990, but also provided sample policies and guidance for implementing change within nonprofit boards.

Jack and Connie are members of Orr& Reno’s Nonprofit Practice Group, which focuses on the unique legal issues encountered by nonprofits. In addition to Connie and Jack, members of Orr & Reno’s Nonprofit Practice Group include Todd Fahey, Richard Uchida, Bill Chapman and John Malmberg. Orr & Reno Accepted into the NH Environmental Services’ Aspiring Leaders Program 

Orr & Reno has been accepted as the first law firm in the state to participate in the New Hampshire Department of Environmental Services Aspiring Leaders program.

The Aspiring Leaders program is a voluntary program that encourages better environmental performance. It is the first tier of the NH Environmental Leadership Initiative for New Hampshire businesses that improve the state’s economy and environment. The New Hampshire Environmental Leadership Initiative was created in December 2007 to achieve sustainability through adoption of best business practices. By signing a pledge of environmental performance and setting goals for best practices in reduction and recycling of office paper, Orr & Reno has been accepted into the program for the period 2008-2011. The firm commits to recycle all of its office paper within the next three years, among other things, and to provide yearly progress reports to the state.

“Orr & Reno is very proud to be the first law firm in the state to achieve ‘Aspiring Leader’ status in New Hampshire’s Environmental Leadership Initiative,” said the firm’s President, John A. Firm Welcomes Two New Lawyers 

Orr & Reno is pleated to announce that two new lawyers, Rachel Aslin Goldwasserand Joshua M. Pantesco, have joined the firm.

Prior to joining the firm, Rachel clerked for United States District Judge John A. Woodcock, Jr. in Maine. Rachel received a master’s degree in environmental management at the Yale School of Forestry and Environmental Studies, where she completed coursework in energy policy and economics. She also served as a research associate at the Yale Center for Environmental Law and Policy, and was a teaching fellow for a course on environmental law and policy.

Josh joins the firm as a general practitioner. He graduated from the University of Pittsburgh School of Law, where he served as Articles Editor for the Pittsburgh Journal of Environmental and Public Health Law and earned semester honors. He won the Sutin Prize in recognition of his service as Senior Editor of JURIST, the legal news and research website of Pittsburgh School of Law. Josh worked at the firm as a summer associate and interned with U.S. District Judge Joy F. Conti of the Western District of Pennsylvania while attending law school.

Maureen has extensive experience in both state and federal environmental matters. She spent the last 16 years in the New Hampshire Attorney General’s Office, where she handled complex environmental compliance, litigation and legislative initiatives in state, regional and national forums. She has been an active member of the Ethics Committees for the New Hampshire Bar. Before that, she was in private practice as an environmental lawyer in New Hampshire and spent 10 years as an attorney in the U.S. Environmental Protection Agency in Washington, D.C.

Justin Boothby Joins Friends of Forgotten Children Board 

Attorney Justin Boothby was recently elected as a member of the Board of Directors of the non-profit organization Friends of Forgotten Children in Concord, New Hampshire. Friends of Forgotten Children helps children, families and seniors experiencing hardship to improve their quality of life and to insure greater stability.

Boothby has extensive experience in the financial services and technology industries, and worked as a technology analyst covering the financial services industry. Prior to joining the firm, he was with Thomson Financial/First Call where he served as a senior project manager for financial data production facilities in Cardiff, Paris, Tokyo, and Manila.

 
NH Public Defender's Board Honors Ron Snow 

A donation of $1,000 was recently made to the NH Bar Foundation by members of the NH Public Defender Program Board of Directors in memory of their colleague, Ronald L. Snow. Ron served on the Public Defender Board for 23 years and was a devoted advocate of he program. The gift was earmarked for the Hon. William F. Batchelder Fund which supports “legal services for low-income and other disadvantaged people in the New Hampshire.” The Fund was established by John and Skye Maher at the Bar Foundation in 1998. Judge Maher continues to match annual contributions to the fund, by up to $10,000 annually, therefore, this memorial gift will go twice as far.

“I have learned that acts of kindness are the ultimate measures of one’s success, and in turn, one’s happiness,” wrote Snow in an article entitled “Dear Grandson, with Regard to Becoming a Lawyer…” This significant gift is one more act of kindness generated by the life of Ron Snow, who died on March 14 at the age of 72. Attorney Snow was a senior director and shareholder of the Orr & Reno Law Firm and an active community leader.

 
City of Claremont Wins Multi-million Dollar Tax Abatement Case 

Orr & Reno attorneys Jim Bassett and Bob Carey, representing the City of Claremont, won a verdict for the City in a multi-million dollar tax abatement case. In the case, entitled Sullivan County Regional Refuse Disposal District et al v. the City of Claremont, the property owner/taxpayer petitioned for a property tax abatement, claiming that the City of Claremont had overvalued the Claremont waste-to-energy facility by more than $9 million. After a trial, the Court denied the abatement petition. In fact, based upon evidence Bassett and Carey presented on behalf of the City of Claremont, the Court found that the facility’s fair market value was actually several million dollars higher than its assessed value. The taxpayer has declined to appeal the decision.

At the heart of the case were several novel legal issues in the valuation of utilities and commercial properties. The Court’s rulings will have far-ranging implications for other New Hampshire municipalities that depend upon tax revenues from utilities and commercial properties.

One significant legal issue was whether the facility’s guaranteed income from the sale of electricity at above-market rates should be valued at those higher rates. The facility, which owed its existence to federal regulations that sought to promote the development of alternate energy sources, had entered into a twenty year contract to sell its electricity at pre-determined rates. When the taxpayer sought its tax abatement, these contract rates were higher than the market rates.

In its ruling, the court rejected the taxpayer’s attempt to discount its revenues from these guaranteed above-market rates. In so doing, the Court adopted Orr & Reno’s argument that the regulatory framework, which made the above-market rates enjoyed by the facility possible, required the actual income to be valued for taxation purposes.

The second significant issue involved the statutory property tax exemption for pollution control equipment under RSA 72:12-a. The taxpayer argued that it was entitled to an annual dollar-for-dollar tax exemption of the initial cost of pollution control equipment purchased decades ago. Attorneys Bassett and Carey persuaded the Court that the equipment should be treated no differently than any other physical asset that depreciates and loses value over time. As a result, the Court concluded that only the present, depreciated value of the equipment, not the acquisition cost, is exempt from property taxes.

 
Uchida Named Chair of Alma Mater’s Educational Policy Committee 

Attorney Richard Uchida was recently named chair of the Colby College Educational Policy Committee. Colby College is a small liberal arts college founded in 1813 and located in Waterville, Maine. The committee is charged with overseeing the academic affairs of the college and ensuring the college’s educational mission and values are met.

A ’79 graduate of Colby College, he has previously served on the Committee and currently serves on the college’s Board of Trustees.

Uchida is a business lawyer with expertise in real estate planning and development matters. He joined the firm as a director and member of the business practice group in June 2008.

 
Emily Gray Rice Named Co-Chair of Judicial Selection Commission 

Governor John Lynch recently named attorney Emily Gray Rice as co-chair of the Judicial Selection Commission. The commission was created in 2005 through an Executive Order issued by Gov. Lynch, with the purpose of vetting candidates for judicial posts.

Rice is a trial attorney with extensive experience in federal and state courts. She also maintains a private mediation practice. Earlier in her career, Rice served as chief of the Civil Bureau in New Hampshire's Department of Justice. Rice chairs the Advisory Committee on Rules for the United States Court of Appeals for the First Circuit. She is an adjunct professor of law at Franklin Pierce Law Center where she teaches trial advocacy. Rice is the recipient of numerous awards, including the New Hampshire Bar Association’s E. Donald Dufresne Award for Outstanding Professionalism. Rice is also a dedicated community volunteer and currently serves on the Board of Directors of the Capitol Region Food Program and Red River Theatres.

The eleven-member commission is comprised of both attorneys and non-attorneys. When there is a judicial vacancy, the Commission provides Gov. Lynch with a list of qualified candidates for consideration. From those candidates, the Governor makes a nomination to the Executive Council.

Firm Honored as a “Go-To Law Firm for Technology Companies” 

Orr and Reno has been named a 2008 Go-To Law Firm for Technology Companies by Corporate Counsel magazine. Each year the magazine conducts surveys with in-house counsel at the top 500 American companies, asking them which outside law firms they use and for what practice areas.

The firm received the award for outstanding work done by attorneys Jim Bassett and Martha Van Oot. IMS Health, Inc. chose Bassett for his work in the practice area of Litigation and Oracle Corporation selected Van Oot for her work in the Intellectual Property arena.

Data to back up the surveys are gathered through court dockets, securities filings, and law publications. This year, ALM—a leading integrated media company and publisher of Corporate Counsel—has targeted the surveys toward top technology companies. The named firms have the honor of being Go-To Law Firms. The firm will appear in a new ALM-published guide called In-House Law Departments at the Leading Technology Companies, coming out soon. The guide will serve as a reference tool for in-house counsel at technology companies, allowing them to consider Go-To Law Firms as additional legal expertise. Remembering Ron Snow 

Long-time Orr & Reno partner Ronald L. Snow died after a brief illness at Concord Hospital on March 14, 2008. He was 72. For over 46 years at Orr & Reno, Ron was a vital member of the firm, establishing its litigation department and becoming one of the most respected trial lawyers in New Hampshire. He joined the firm in 1961 and served as its president from 1986 to 1994. His notoriety as a trial lawyer began at Yale Law School where he won the student trial competition and culminated in his election as a Fellow in the American College of Trial Attorneys in 1982. His numerous courtroom successes included complex commercial disputes, plaintiffs products liability actions and complicated medical malpractice defenses. By example and active mentoring, he provided many past and present Orr & Reno lawyers with not only superior training in the craft of trial preparation and practice but high standards of ethical conduct and loyalty to clients and the firm.

Ron was born in Franklin, NH and raised in the Lakes Region. He was a debate and athletic star at Laconia High School and quarterbacked the first New Hampshire Maple Sugar Shrine football team. Attending Dartmouth, he played baseball and won national recognition as a debater before graduating in 1958 and going on to Yale Law School, finishing in 1961. He settled in Concord and at Orr & Reno that summer with his wife, Mary Ellen, and together they raised three children, including Lisa Snow Wade, a current partner in the firm. He served numerous charitable organizations to promote a wide variety of interests, and was instrumental in the implementation of technology in the federal and state court rooms in New Hampshire. Ron loved jazz and was a talented golfer and magician.

Heidi Cole Graduates as Vesta Roy Fellow 

Attorney Heidi Cole recently graduated from The Vesta Roy Excellence in Public Service Series. In addition, Cole has been elected to the organization’s Board of Governors.

The Series is a political leadership training program for Republican women who have an interest in politics and public service but have not yet held state elective office. The program provides both informational and skills-building sessions to give participants tools and training to build their confidence and turn interest into activism.

During her year-long fellowship, Cole participated in various training sessions including understanding the legislative process, planning campaigns, traveling to Washington, DC to meet and learn tips from staff and members, and hearing personal stories from elected officials.

Vesta Roy served as a Rockingham County Commissioner, state representative, and state senator from 1979-1986. As senate president at the time of Governor Hugh Gallen’s death, she served as governor for 7 days prior to the swearing in of Governor John H. Sununu. She was the first female to hold that position.

 
Robin Vermette to Present Immigration Overview to Human Resources Professionals in Vermont and New Hampshire 

Orr & Reno Immigration Manager, Robin Vermette will present on hiring foreign physicians and allied health processionals at the join meeting of the Vermont Healthcare Human Resource Association and Healthcare Human Resource Association of New Hampshire on June 20.

The workshop will provide an immigration overview for human resources professionals and will clarify the difference between the J-1 and H-1B physician, explain the J-1 waiver process and whether a facility qualifies for the J-1 waiver, the requirements to file an H-1B visa petition with Immigration, visa alternatives when the H-1B is not an option, and describe the “green card” process.

Vermette joined Orr & Reno in 1993 after serving as Special Assistant and Immigration Specialist for former U.S. Senator Warren Rudman. As part of the firm’s Employment Law and Immigration practice, she focuses entirely on immigration matters - particularly assisting employers and foreign nationals through the complex immigration process for employment-based professional visas and the "green card" process.

Vermette has written articles on immigration issues for business magazines and has been a guest lecturer and workshop presenter at institutions such as Dartmouth College, Franklin Pierce Law Center, Middlebury College, the University of New Hampshire, the National Association for Foreign Student Advisors, and human resource and health care associations.

Catholic Council Approves Sale of Villa Augustina School to Parents 

The general governing council of the Religious of Jesus and Mary recently approved the sale of the Villa Augustina School, a K-8 Catholic school in Goffstown, New Hampshire to a group of concerned parents.

It was almost five months ago, when the Religious of Jesus and Mary told parents they could not financially support the school they founded 90 years ago, making its closure almost certain. Since then, determined parents have created a transition team, developed a five-year plan, established two new non-profit corporations to operate as successors to the school, and raised necessary funds to purchase and upgrade the school. Parents and others, acting through the Villa Augustina Leadership Transition Team, devised a plan to continue the school through an independent non-profit successor corporation that will continue to operate the school as an independent Catholic school.

Orr & Reno attorney Todd Fahey has represented the parents of Villa Augustina School and the Villa Augustina Leadership Transition Team throughout the organizational process and negotiation of this transfer.

Verizon Ordered To Cease Billing Certain Charges and To Provide Refunds 

On March 21, 2008, the New Hampshire Public Utilities Commission (“PUC”) issued an order declaring that Verizon had been improperly imposing “carrier common line charges” upon competitive local exchange carriers (“CLECs”) in instances where no Verizon “common line” was being used and where no Verizon end use customer was involved in the telephone call. Verizon was ordered by the PUC to cease billing these charges to CLECs. In addition, the PUC ruled that Verizon’s misinterpretation of its tariff had resulted in impermissible charges and therefore Verizon owes restitution to the CLECs. The PUC determined that “the aggregate potential Verizon liability appears to be on the order of $15 million to $20 million.” The exact amount and manner of refunds or reparations will be determined in a second phase of this case.

This case was initiated upon a complaint brought by Freedom Ring Communications, LLC d/b/a BayRing Communications which is represented by Attorney Susan Geiger, a shareholder and director of Orr & Reno, and a former PUC Commissioner.

 
Macdowell Colony Entitled To Tax Exemption 

On March 14, the New Hampshire Supreme Court, in a unanimous decision, ruled that MacDowell Colony, of Peterborough, New Hampshire, is a charitable organization under New Hampshire law and entitled to a property tax exemption.

MacDowell Colony was established in 1907 by Edward MacDowell, an internationally renown composer, and his wife, Marian, to “promote the arts … to encourage study, research and production of all branches of art … and to broaden their influence” throughout the world. The MacDowells dedicated their home in Peterborough to be “a place for work and companionship of students in all the arts.” Their generosity has given New Hampshire one of the most successful artist-in-residence programs in the country. Each year both established and emerging artists through a selective admission process are awarded fellowships to the Colony to work on art projects. Over the years Colony Fellows have included such well known artists as Thornton Wilder, Aaron Copland, Leonard Bernstein, Willa Cather and Alice Walker.

In its decision, the Supreme Court ruled that MacDowell’s mission is charitable because its “artist-in-residence ‘program primarily benefits society as a whole.’” In so ruling, the Court rejected the Town of Peterborough’s argument that MacDowell did not serve the general public because its property is used only by artists who are awarded fellowships. The Court stated that the “relevant inquiry is not whether the public…benefits from the organization’s property…but whether the public…benefits from the organization’s performance of its stated purpose,” in MacDowell’s case, “promotion of the arts.”

After the decision, MacDowell Colony released the following statement:

“Today’s Supreme Court decision affirming MacDowell’s longstanding property tax exemption is welcome news to all citizens who value the work done by charitable organizations in New Hampshire ... The Court’s ruling reminds us that municipalities and non-profits are on the same side, working to strengthen our communities and enhance the quality of life for all citizens …That the importance of the arts in the Granite State has not faded with the passage of so many generations serves as an inspiration to all of us.”

Remembering Malcolm McLane 

Long-time Orr & Reno partner Malcolm McLane passed away at his home on February 2, 2008. He was 83. For over 50 years at Orr & Reno, Malcolm was a distinguished trusts and estates lawyer. He joined the firm in 1952 and served as its president from 1981 to 1984. He had a long career in public life, serving on the Concord City Council for 20 years, as mayor of Concord from 1970 to 1976 and on the Executive Council from 1977 to 1982. Before settling in Concord with his wife Susan to raise their five children, Malcolm was a decorated fighter pilot in World War II, graduated from Dartmouth, was a Rhodes Scholar and graduated from Harvard Law School. His record for the fastest ascent to the AMC’s Greenleaf Hut on Mt. Lafayette still stands, and he captained the Dartmouth Ski Team. Malcolm was instrumental in the development of the Wildcat Mountain Ski Area and Concord’s Everett Arena and in the renovation and rejuvenation of the Capital Center for the Arts. He served numerous charitable organizations to promote a wide variety of interests, including education, social welfare and women’s rights.

“Malcolm’s unselfish public service, high professional standards and engaging, genuinely warm and funny manner provide a great example for all of us,” said John Malmberg, Orr & Reno president. “I will always be grateful for the opportunity to know him, for all he did for Concord and the State of New Hampshire and for his abiding loyalty and service to Orr & Reno.”

A service of thanksgiving and remembrance will be held on Sunday, February 10 at 3pm at St. Paul’s Episcopal Church of Concord with a reception for family and friends following the service hosted by Orr & Reno.

Jennifer Eber Elected to Animal Rescue League Board Attorney 

Jeniffer Eber was elected to the Board of Directors of The Animal Rescue League of NH in February. Eber focuses her practice on commercial, insurance and employment litigation, domestic relations and animal rights litigation.

Bonnie Packard nominated to attend women’s business summit in DC 

Bonnie Packard, Director of Government Relations, was nominated by U.S. Senator John Sununu (R-N.H.) to participate in the Business and Professional Women’s Leadership Summit in Washington in late April. Packard was one of 31 New Hampshire women nominated. The summit offers over 400 women leaders from across the country a forum to discuss economic growth, education, health care and other national political issues.

Martha Van Oot to present business split-up workshop 

Attorney Martha Van Oot will serve on the faculty for a new legal workshop for attorneys and others interested in business dissolutions being offered by the NH Bar Association. The program, Business Split-Ups: Issues Arising from Corporate and Partnership Fractures, will be held on Wednesday, May 14, 2008 at NH Bar Association Seminar Room.

The program will feature a panel of experienced practitioners discussing the legal issues that attorneys must help clients address during the dissolution of a business. Students at Pierce Law Center in Concord are benefiting from Connie Boyles Lane’s 27 years of diversified legal experience this term. Orr & Reno client receives approval to construct rehabilitation hospital 

The New Hampshire Health Services Planning and Review Board (CON Board), on January 17, 2008, unanimously approved plans by Orr & Reno client Northeast Rehabilitation Hospital to build a 33 bed inpatient rehabilitation hospital at the Pease International Tradeport in Portsmouth, N.H. Attorneys John Malmberg and Jessica Storey represented Northeast Rehabilitation Hospital, which currently operates inpatient rehabilitation facilities in Salem and Nashua, as well as a network of outpatient rehabilitation centers in both New Hampshire and Massachusetts. The facility is expected to be in operation in 2010.

Orr & Reno client receives approval to construct and operate the first commercial-scale wind farm in NH 
Orr & Reno client Iberdrola Renewable Energies USA recently received approval from the New Hampshire Site Evaluation Committee to construct and operate the first commercial-scale wind farm in New Hampshire. Attorney Susan Geiger a long with Attorney’s Doug Patch and Jessica Storey represented Iberdrola, the world’s largest owner and operator of wind power facilities, in its successful effort to become the first wind-powered commercial generator of electricity in New Hampshire. Construction on the 24 megawatt project is likely to begin this fall in the town of Lempster, located in Sullivan County about 10 miles south of Newport and 20 miles north of Keene, and to be completed in the summer or fall of 2008. The new wind farm will produce more than 75 million kilowatt hours of clean, renewable electricity each year, enough to provide power for roughly 10,500 homes. No appeals of the 14 member Site Evaluation Committee’s order are likely as the only motion for rehearing, a necessary prerequisite for any appeal to the New Hampshire Supreme Court, was later withdrawn. Susan Geiger is a former New Hampshire Public Utilities Commissioner, member of the Site Evaluation Committee, and Chief of Staff with the NH Attorney General’s Office. She has an administrative law and regulatory practice at Orr & Reno where she represents clients in the energy and telecommunications areas.

Howard Moffett was recently elected a Trustee of the Society for the Protection of New Hampshire Forests. Founded by a handful of concerned citizens in 1901, The Forest Society is now one of the country’s most effective statewide land conservation organizations. Connie Lane will be a panel member speaking on Property Tax and Exempt Organizations at a National Business Institute (NBI) Continuing Education Seminar on Monday, September 27, 2007. The seminar will be held at the Holiday Inn in Concord, NH from 8:30 to 4:40 p.m. and is geared towards officers, directors and exempt organization’s accountants or attorneys. This intermediate-level seminar will provide valuable information necessary to ensure exempt organizations are properly and effectively run.

Being a former executive director of two nonprofit organizations, Connie is familiar with the myriad of issues facing both new and established nonprofit organizations. She was the founding executive director of one of New Hampshire’s three legal assistance programs, Legal Advice & Referral Center, and former director of Pro Bono Program of the New Hampshire Bar Association.

New Hampshire Law Banning Commercial Use of Prescription Information Declared Unconstitiutional 

Jim Bassett and Jeff Spear recently helped IMS Health, Inc. and Verispan, LLC enjoin 2006 N.H. Laws § 328, a New Hampshire statute - the first of its kind in the nation - which restricted the commercial use of information about physician prescribing practices. Following a week-long trial, Judge Paul Barbadoro held that the statute violated the free speech guarantees of the First Amendment. Supreme Court Decision in Non-Compete Agreement 

On May 3, 2007, the New Hampshire Supreme Court affirmed a decision of the Cheshire County Superior Court (Sullivan, J.) in favor of ACAS Acquisitions (Precitech), Inc., which sought to enforce a non-competition agreement against the former Vice President of Sales and Marketing of Precitech, Inc. located in Keene, New Hampshire. The Court ruled that the non-competition and non-disclosure agreements were enforceable, that the contractual severance benefits were not "wages" under RSA 275, that the employee forfeited his right to severance benefits, and that ACAS was entitled to attorneys' fees.

Recent Supreme Court Decision 
Orr & Reno Partner Steve Winer recently represented the Association of Alumni of Dartmouth College in a lawsuit entitled MacGovern v. Association of Alumni brought by an Association member challenging the Association's voting procedures. The lawsuit attempted to overturn the results of the Association's annual officer and executive committee elections. The case had been dismissed by the state superior court in August of 2006 and the member appealed. On April 18, 2007, the New Hampshire Supreme Court issued an order affirming the dismissal of the case.

 
Attorney Malmberg Successful in Winning Certificates of Need 
Health Care Partner John Malmberg helped two hospitals win Certificates of Need (CONs) from the New Hampshire Health Services Planning and Review Board at the Board's April 19, 2007 meeting. The Board voted unanimously to grant a CON to Portsmouth Regional Hospital, an HCA-owned facility in Portsmouth, NH, for new construction and renovation for an approved cost of $53,027,047. Similarly, it gave unanimous approval to Monadnock Community Hospital, a non-profit Critical Access Hospital in Peterborough, NH, to spend $52,176,689 to renovate and add new space to the facility.

At the March 15, 2007 meeting of the New Hampshire Health Services Planning and Review Board, Attorney Malmberg represented two hospitals (Catholic Medical Center, Manchester, NH and Parkland Medical Center, Derry, NH) and a large physician group practice (Derry Medical Center, Derry, NH) in their joint petition for a determination that an $11 million outpatient facility being completed in Londonderry, NH by Elliot Hospital of Manchester, NH, must obtain a CON before offering services in over 60% of the building. The Board voted 8-0 to grant the petition and require Elliot Hospital to apply for a CON for the portion of the building that was proposed to be used for outpatient hospital services.

Prior to joining the firm's Litigation Group, Bob served as a Assistant Attorney General in the Criminal Bureau where he prosecuted white collar cases, homicides and public integrity cases. Recent Supreme Court decision in ElderTrust case 

Our client ElderTrust of Florida, Inc. recently won an important victory in the New Hampshire Supreme Court. ElderTrust owns and operates a skilled nursing home and an assisted living facility in Epsom, New Hampshire. The town denied ElderTrust a charitable tax exemption on both facilities and ElderTrust challenged the denial and prevailed in superior court.

The town appealed, and the Supreme Court, in a decision issued on January 18, 2007, took the occasion to enunciate a four-part test that charitable organizations must satisfy to be entitled to a tax exemption. The court ruled that ElderTrust met the test and it affirmed the superior court decision.

Challenge to State's education law 
Bill Chapman. Marty Van Oot and Maria Proulx, representing The New Hampshire Communities for Adequate Funding of Education, a coalition of 19 school districts and towns, prevailed in their challenge to the State's education law. The NH Supreme Court held that the State has failed to define a constitutionally adequate education and must do so before June 30, 2007. Success for New Hampshire domestic insurers 

Attorney George Roussos and Government Relations Director Bonnie Packard on behalf of the New Hampshire Association of Domestic Insurance Companies achieved victory with the passage of House Bill 678. The bill will cut the state's two percent tax on insurance premiums to one percent over the next four years, making it the lowest in New England and the mid-Atlantic states. The reduction will save domestic insurers on the taxes they pay to New Hampshire as well as retaliatory taxes paid to other states.

 
House Bill 645 to become law 

Attorney Doug Patch representing the New Hampshire Association of Fire Chiefs lobbied successfully for the passage of "fire-safer" cigarettes legislation. The legislation, House Bill 645, goes into effect on October 1, 2007. Joined by the FIre Chiefs, Governor John Lynch signed the bill into law and said "states across the nation are beginning to switch to fire-safer cigarettes, and New Hampshire is at the forefront."

 
New Hampshire Bar honors Emily Rice with highest award 

Orr & Reno is proud to announce that Emily Rice, co-chair of the firm’s litigation practice group, received the Donald Dufresne Professionalism Award on Friday, June 23, at the New Hampshire Bar Association’s annual meeting. The Dufresne award is given to an attorney that best fits the following description: “A professional lawyer is an expert in law pursuing a learned art in service to clients and in the spirit of public service; and engaging in these pursuits as part of a common calling to promote justice and public good.”

Ron Snow convinces NH Supreme Court to Reverse $2.3 Million Verdict in Medical Malpractice Case 

In a decision issued on April 25, 2006, the New Hampshire Supreme Court agreed with senior Orr & Reno litigator Ron Snow that the trial court should have set aside a jury’s $2.3 million verdict in a wrongful birth medical malpractice suit. The plaintiffs in the case had argued that Dartmouth Hitchcock Medical Center had failed to inform them during the prenatal period of the increased possibility that their baby would be born with serious birth defects, thus depriving them of the opportunity to consider terminating the pregnancy. But, after describing the complex ultrasound and genetic testing and counseling that was undertaken both before and after the birth, the Court agreed with Snow that at trial the evidence showed that the Medical Center had told the parents of the possibility of birth defects. The Supreme Court declined to adopt the parents’ argument that they should have been told what was wrong with their baby and advised to consider termination. Thus, the Supreme Court reversed the trial court’s decision on post trial motions and set aside the verdict.

Decisive Victory from a New York Court for Orr & Reno client 
A New York Judge found in favor of an Orr & Reno manufacturing client which had signed a letter of intent to sell its business with a New York venture capital firm. The firm sued in New York claiming our client should pay $100,000 in the firm’s due diligence expenses. Although Orr & Reno had to fight this battle in New York, litigator, Jeff Spear, drafted the successful arguments and filed them in New York with the help of our Meritas affiliate in New York. The resounding victory in the lengthy opinion gives our client the comfort that we can take care of their legal needs at home and outside New England.
 
Certified Marital Mediator 
Attorney Judith Fairclough recently received certification as a marital mediator. With nearly 20 years’ experience as a family law attorney, Judy’s approach has long been resolution oriented. Mediation allows clients to avoid costly, protracted and confrontational litigation with creative resolution tailored to specific needs and reached in a cooperative and confidential setting. Judy is also a member of the New Hampshire and American Bar Association Dispute Resolution sections and is also a member of the Association of Family and Conciliation Courts.

The New Hampshire Bar Association presented Orr & Reno with the Pro Bono Referral Program’s 2006 Award for Merrimack County at the Midyear Meeting Luncheon on Thursday, February 16. Member of New Judicial Branch 
Emily Rice, co-chair of the firm's litigation practice group, was selected to be a member of a new Judicial Branch Committee on Alternative Dispute Resolution Services established by the New Hampshire Supreme Court and chaired by Associate Supreme Court Justice Linda S. Dalianis. The committee will review current ADR services provided in the New Hampshire State Courts and examine how they may be enhanced and expanded. The committee also will provide critical input for the proposed Office of Alternative Dispute Resolution at the Administrative Office of the Courts.
 
New Appointment 
Susan Geiger, a member of the firm's Energy and Telecommunications and Government Relations practice area, has been appointed to the Advisory Council of the New England Energy Alliance. This new organization includes a diverse group of energy providers, businesses and trade organizations, labor and others concerned about potential energy shortages and the impact on New England's economy.

Landmark Decision 
George Roussos and Lisa Snow Wade obtained a summary judgment for New Hampshire Life and Health Insurance Guaranty Association against the NH Motor Transport Association Employee Benefit Trust, a self-insured MEWA (multiple employer welfare arrangement). The Trust asserted that it was entitled to benefits from the Guaranty Association excess health claims that should have been covered by its insolvent stop-loss carrier. In a landmark decision, the court ruled that because the MEWA acted as an "insurer" given the group health benefits it provided to its members' employees, the stop loss coverage the Trust obtained was "reinsurance" and thus excluded from coverage under the New Hampshire's Life and Health Guaranty Association Act.
